Subscription Agreement
THIS agreement is between each subscriber and SiMX Corporation and governs the terms and conditions for subscribers to the subscription services offered by SiMX. Acceptance of this agreement is a condition precedent to obtaining access and to maintaining access. By subscribing to and using the services, you agree to pay all applicable fees and abide by the terms of this agreement, as it now exists and as may hereafter be amended.
As a subscriber you agree that your username and password will not be disclosed to any unauthorized person. SiMX may change your username and password at any time, provided that you are sent notice to your last known E-Mail address. All authorized users will have a unique access login, allowing them to obtain access to the services you selected. Each Subscriber agrees to keep his or her personal access code confidential and to notify SiMX of any violation of this agreement.
SiMX subscription services are provided on an "as is, as available" basis. No warranties, expressed or implied, including, but not limited to, those of merchantability or fitness for a particular purpose, are made with respect to SiMX. Further, no warranty of any kind is implied regarding reimbursement for losses of income due to disruption of service by SiMX. Every effort is made to assure that all provided software components function correctly. However, SiMX disclaims any liability for errors in the services and as a subscriber you assume the risk of possible errors.
You agree to honor your payment obligations and you are okay with SiMX storing your payment information. Also, there may be fees and taxes that are added to our prices.
You agree to pay the applicable fees as they become due plus all related taxes, and to reimburse us for all collection costs and interest for any overdue amounts. Failure to pay may result in the termination of your subscription. Depending on where you transact with us, the type of payment method used and where your payment method was issued, your transaction with us may be subject to foreign exchange fees or differences in prices because of exchange rates. If the payment method you use with us, such as a credit card, reaches its expiration date and you do not edit your payment method information or cancel your subscription, you authorize us to continue billing that payment method and you remain responsible for any uncollected amounts. Your obligation to pay fees continues through the end of the subscription period during which you cancel your subscription. All applicable taxes are calculated based on the billing information you provide us at the time of purchase. We do not guarantee refunds for lack of usage or dissatisfaction. Additionally, if you require a printed invoice for your transaction with us, you may access it through your SiMX account settings under “Purchase History” or request one by contacting our Customer Support at subscription@simx.com
SiMX reserves the right to change access fees following notice published online 30 days prior to such changes, and to automatically apply such adjustments to all existing accounts. SiMX also reserves the right to cancel any of its services and refund the fee pro rata.
No waiver of any provision of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver.
This Agreement shall be governed by and shall be construed in accordance with the laws of the State of New Jersey
This Agreement constitutes the entire agreement between the parties pertaining to its subject matter and it supersedes all prior contemporaneous agreements, representations, and understandings of the parties. No supplement, modification, or amendment of this Agreement shall be binding unless executed in writing by all parties.
